POSITION: GENERAL COUNSEL

REPORTS TO: PRESIDENT

ROLE TYPE: THIS IS A FULL-TIME, EXECUTIVE LEVEL POSITION

The General Counsel will provide enterprise leadership over the legal, government affairs, risk and compliance functions while contributing to the strategy and future direction of the organization. The General Counsel is accountable for development and implementation of Vanguard Charitable’ s legal, government affairs, compliance and risk management strategies through the following primary responsibilities:

  • Define and manage legal, government affairs, risk and compliance functions/oversight for Vanguard Charitable’ s operations and strategic initiatives.
  • Serve as legal advisor to the President and members of the executive leadership team.
  • As a member of the Executive team, contribute to the strategy and future direction of the organization.
  • Identify, analyze and mitigate all elements of Vanguard Charitable’s organizational risk profile.
  • Interact with individuals in legislative and regulatory roles to influence policy, including building relationships with officials, and providing information regarding the charitable sector and donor-advised funds to policy makers.
  • Ensure appropriate enterprise risk management and compliance with evolving regulatory requirements.
  • Monitor and understand regulatory and legislative proposals and how they will impact Vanguard Charitable and other donor-advised funds and non-profits/key stakeholders across the sector.
  • Bring together Donor-Advised Fund Sponsors and other related entities to protect and promote the value of donor-advised funds.
  • Serve as Assistant Secretary to the Board of Trustees. Support the work of the Governance Committee, including reviewing and updating bylaws, committee charters and key Vanguard Charitable policies.
  • Build and maintain collaborative relationships across the organization to effectively drive outcomes. Monitor and lead the resolution of all open legal issues in compliance with legal/regulatory requirements.
  • Maintain appropriate insurance coverage.
  • Report risk issues to the Audit Committee of the Board of Trustees.
  • Partner with President and CFO to ensure contributions of illiquid assets are in compliance with regulatory requirements and business policies.
  • Create and manage strategic outside legal services to fit the varying needs of Vanguard Charitable.

QUALIFICATIONS

  • JD from an ABA accredited law school is required.
  • Substantial experience as a practicing attorney in a complex environment such as a large law firm, financial institution, foundation or large non-profit institution with experience that includes contract negotiation and dispute resolution.
  • Extensive tax-exempt legal experience, including risk management, government affairs, compliance and corporate governance.
  • • Strong business acumen and sophisticated understanding of business dynamics. Results driven and
  • understands the need to increase revenue through evolving business strategies.
  • • Able to think and act strategically and to build strategies and action plans to address business and
  • financial needs in a dynamic business environment.
  • • Experience operating in senior leadership positions and comfortable partnering with business leaders
  • (i.e., President/Board level); exhibits a polished executive presence.
  • • Strong, consultative and collaborative leadership style with proven delegation skills. Possesses the
  • ability to lead and manage teams with direct and indirect reporting relationships.
  • • Demonstrated hands-on approach and proven success working in a team-based environment.
  • • Superb written and oral communication skills; ability to persuade and influence a variety of internal and
  • external stakeholders at different levels.
  • • Service and detail-oriented. Exceptionally well-organized.
  • • Process and control-oriented; operational experience mandated.
  • • Demonstrates unquestionable ethics and integrity.
  • • Prioritizes the needs of the organization in all discussions and decision making.
